value of clean 01 GT?

i have someone wanting to trade me a very clean 01 GT 5 spd with 46K original miles, black with grey leather.

what would be a good value on the car?
how do they run compared to the older 5.0's?

i am in the situation where i need to just sell the car he wants but you know how that goes-when you have a car for sale everyone wants to trade you.....
thinking the 01 GT might just be easier to sell if i got that
